Vouchsafe provides identity verification and vouching services.

These Terms & Conditions outline the conditions of how the Customer may use the Service.

By subscribing to and using the Service, the Customer agrees to these Terms & Conditions and, during ongoing use, any future amendments.

Access and use

The Customer is granted a non-exclusive, non-transferable right to use Vouchsafe for internal business operations in accordance with these Terms.

The Customer must make sure that all use complies with applicable laws and regulations and must not use it for any unlawful purposes.

End-User access

The Customer may let End-Users access the Service only if these conditions are met:

  • The Customer must not make claims or promises about the Service that haven’t been agreed in writing with Vouchsafe
  • The Customer must make sure that Vouchsafe is not responsible for any claims made by the Client’s End-Users.


Vouchsafe will endeavour to provide the Service with minimum disruptions. However, availability may be affected by maintenance, upgrades, or network issues.

We will provide reasonable notice of any scheduled maintenance that may affect the availability of the Service.


Vouchsafe will make reasonable efforts to provide appropriate support for any issues during normal working hours. To do this, the Customer must provide all necessary information and work with Vouchsafe to resolve the issue.

Out of hours support will only be provided if this provision has been set out in the Agreement.

Fees and payment

The fees for the Service are outlined in the Agreement between the Parties. They are exclusive of any applicable taxes.

The Customer agrees to pay all applicable fees in accordance with the Payment Terms outlined in the Agreement.

The Customer agrees to pay the Annual Licence Fee to Vouchsafe. The Annual Licence Fee will include provisions made for data licences, updates, support and maintenance and management information requirements.

Verification Fees are in addition to the Licence Fee and are due for each Verification, or according to the volume of Verifications specified in the Agreement.

Additional fees may be due for other services such as enterprise setup support and integration, or out of hours support. These fees may be included in the Agreement, or arise as additions during the Term of Service.

Payment must be made by means, timeline and renewal conditions set out in the Agreement.

If the Customer’s use exceeds the agreed limits then they may be subject to additional fees.

If the Customer does not meet the minimum committed verifications during the Term these cannot be carried forward. 

Vouchsafe may suspend service if payment has not been made within 15 days of the due date.

Vouchsafe reserves the right to amend Fees. A minimum notice period of 90 days will be given before any price change, with the change taking effect at the start of the next Renewal Period.

Intellectual Property Rights

Vouchsafe retains all intellectual property rights, including any software, documentation, and materials provided.

The Customer agrees not to copy, modify, or reverse engineer any part of the Service, or use the intellectual property for any purpose other than intended use.

Data Protection

Vouchsafe is committed to protecting the privacy and security of all personal data processed as part of the Service.

The Customer agrees to comply with all applicable data protection laws in relation to the processing of personal data through the use of the Service.

Indemnities and limitation of liability

Vouchsafe shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, or use of the Service.

The Customer will defend, indemnify and hold harmless Vouchsafe, its agents, employees, and contractors from claims, damages, obligations, losses, liabilities, settlements, costs, debt, and expenses arising from:

  • End-User claims resulting from use of or access to the Service.
  • Unauthorised access to the service by a third party.
  • End-User or Customer violation of law.
  • the Customer’s violation of terms and conditions.
  • Misleading or false information transmitted through the Service by the Customer or End-Users.


Vouchsafe may use the Customer’s name, logo and testimonials in marketing materials and on the website. The Customer may use Vouchsafe’s name and logo with prior written consent.

Force Majeure

Vouchsafe shall not be liable to the Customer for unfulfilled terms of the agreement arising from matters beyond its control.


The agreement can be terminated by either party by providing 30 days written notice.

Vouchsafe reserves the right to suspend or terminate the Service immediately upon breach of these terms by the Customer without liability.

General provisions

These terms constitute the entire agreement between Vouchsafe and the Customer regarding the Service.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full effect.

The Customer may not transfer the rights or obligations of the Agreement to another Party.

Governing law

These terms are governed by and construed in accordance with English law. Consenting parties consent to the jurisdiction of the courts of England.
